Overview

These Reservation Terms of Use ("Terms") govern your access to and use of the website www.miradial.com (the "Website") and all related reservation features, content, and processes operated by MIRA Labs OÜ ("Company", "we", "our", or "us"), a company registered in Estonia, European Union.

Please read these Terms carefully before using the Website. By visiting, accessing, or using the Website — including making a Free Email Reservation or Paid VIP Reservation (including completing any payment) (collectively "Reservation") — you agree to be bound by these Terms, our Privacy Policy and Cookie Policy (collectively "All Terms"). If you do not agree to All Terms, please do not use or access the Website or make any Reservations.

All Terms apply to all users of the Website, including without limitation to visitors and Reservation makers.

1. Eligibility and Age Restriction

1.1. By using the Website or making a Reservation, you represent and warrant that you meet the applicable age requirements set by the law and that all information you provide is accurate and truthful.

1.2. By accessing or using the Website, making a Reservation (including any payment) or providing any information, you represent, warrant, and confirm that:

1.2.1. you have reached the age required by the laws of the country or jurisdiction from which you are accessing or using the Website, making a Reservation and entering into binding agreements (including engage in financial transactions) (as applicable);

1.2.2. you have the full legal capacity and authority under those laws to accept All Terms and form any related contract; and

1.2.3. all the information you provide is accurate, complete, and truthful.

1.3. If you do not meet the age and capacity requirements applicable in your jurisdiction, you are not permitted to use the Website, provide information, or make any Reservation.

2. Description of the Reservation

2.1. We offer two simple Reservation options for the upcoming Indiegogo crowdfunding campaign at https://www.indiegogo.com for MIRA Dial (the "Indiegogo Campaign"):

Free Email Reservation

2.1.1.1. Sign up with your email address at no cost.

2.1.1.2. You will receive a $40 USD discount.

2.1.1.3. This includes priority notification when the Indiegogo Campaign launches and basic campaign updates.

2.1.1.4. The Reservation is subject to the following conditions:

• It is valid for one (1) single use;
• It is non-transferable and may not be sold or assigned to any third party;
• It is valid until the end of the Indiegogo Campaign, after which it automatically expires;
• It may only be applied to a purchase made via the Indiegogo Campaign page (https://www.indiegogo.com);
• Only one Free Email Reservation discount may be used per person/email address/account. Multiple Reservations may not be combined or stacked;
• The $40 USD discount is applied to the original/base pledge price, not to already discounted or promotional prices.

Paid VIP Reservation

2.1.2.1. Pay a one-time $5 USD Reservation Fee.

2.1.2.2. You secure an $80 USD discount.

2.1.2.3. This includes everything from the Free Email Reservation option plus higher priority access and exclusive updates.

2.1.2.4. By making this payment, you acknowledge and agree that:

• The Reservation Fee of $5 USD is charged at the time of purchase via our payment processor.
• The Paid VIP Reservation replaces and supersedes any previously received Free Email Reservation ($40 USD). You may not use both simultaneously.
• The Paid VIP Reservation is valid for one (1) single use only and may only be applied to a purchase made via the Indiegogo platform.
• The Paid VIP Reservation is non-transferable and may not be sold or assigned to any third party.
• The Paid VIP Reservation is valid until the end of the Indiegogo Campaign, after which it automatically expires.
• Only one Reservation (Free or Paid VIP) may be redeemed per person, per email address, per Indiegogo account, or per pledge.
• The $80 USD discount is applied to the original/base pledge price, not to already discounted or promotional prices.

2.1.2.5. We reserve the right to adjust the Paid VIP Reservation amount at any time prior to the Indiegogo Campaign launch. If changed, we will notify you and you retain the right to request a refund.

2.1.2.6. This is NOT a purchase of the product. Reservations are non-binding. They express interest and aim to secure potential early access. Actual purchase occurs on the Indiegogo platform once the campaign launches.

For the avoidance of doubt

2.1.3.1. Each person/backer is limited to one active Reservation for this Indiegogo Campaign.

2.1.3.2. Discounts cannot be combined, stacked, or applied more than once to any single pledge.

2.1.3.3. We reserve the right to invalidate any Reservation that appears to violate this limitation.

2.1.3.4. Any attempt to circumvent these rules may result in forfeiture of the Reservation.

3. Payment and Refunds (Paid VIP Reservation only)

3.1. The Reservation Fee of $5 USD is processed securely.

3.2. You represent and warrant that your payment information is accurate, you are authorized to use the payment method, and charges will be honored.

3.3. You may request a full refund of the Reservation Fee at any time before the Indiegogo Campaign launches by contacting us at [email protected].

3.4. Refunds are processed within 5-10 business days to the original payment method.

3.5. Once the Indiegogo Campaign has launched, the Reservation Fee is non-refundable.

3.6. International Pricing and Currency: Our base currency is the US Dollar (USD). For your convenience, we may offer localized, fixed pricing in other currencies. You will be billed in the currency displayed to you at checkout. Any fees, minimums, or limits stated in these Terms in USD will be applied to international orders at an equivalent localized rate determined by us. If you are issued a refund, it will be processed in the exact currency and amount you originally paid. We are not responsible for any exchange rate fluctuations or foreign transaction fees applied by your bank or credit card provider.

4. No Guarantee of Discount, Campaign Success or Product

4.1. We do not guarantee that the $40 USD or $80 USD discount, any tier, or the Indiegogo Campaign itself will be available, successful, or result in product delivery. Although we are the official creator, we cannot control Indiegogo platform changes, final pricing, reward availability, product quality, or delivery timing.

5. Intellectual Property

5.1. All content on the Website is owned by or licensed to MIRA Labs OÜ and protected by intellectual property laws. You may not copy, reproduce, modify, or create derivative works without prior written consent.

6. Third-Party Links and Services

6.1. The Website may contain links to the Indiegogo platform, social media, or payment processors. We are not responsible for the content or privacy practices of those sites. Transactions on Indiegogo are governed by their terms.

6.2. Participation in the campaign is subject to Indiegogo's terms. MIRA Labs OÜ is not responsible for Indiegogo platform operations.

7. Disclaimer of Warranties

7.1. The Website and Reservations are provided "AS IS" without warranties of any kind. We disclaim implied warranties of merchantability and fitness for a particular purpose.

7.2. Nothing in these Terms limits warranties that cannot be excluded under applicable law, including EU or Estonian consumer rights.

8. Limitation of Liability

8.1. To the maximum extent permitted by law, our total liability is strictly limited to the amount you paid us (maximum $5 USD). We shall not be liable for indirect, incidental, or consequential damages.

8.2. Nothing in this section affects your statutory rights under consumer protection law.

9. Indemnification

9.1. You agree to indemnify and hold harmless MIRA Labs OÜ from claims arising out of your breach of these Terms, misuse of the Website, or information you submit.

10. Governing Law and Dispute Resolution

10.1. These Terms are governed exclusively by the laws of the Republic of Estonia. Any disputes shall be resolved in the competent courts of Estonia (Harju County Court as first instance).

11. Changes to These Terms

11.1. We may update these Terms at any time. Material changes will be notified via email to existing reservation holders.

12. Privacy

12.1. Your personal data is processed in accordance with our Privacy Policy, Cookie Policy, the GDPR, and applicable U.S. state privacy laws.
